Terms Of Service

The rules for using Covlio, including strong restrictions against copying, transferring, rebuilding, or misusing Covlio automations and proprietary workflow systems.

Effective date: June 26, 2026. These terms are a business-ready draft and should be reviewed by legal counsel before relying on them as final legal advice.

1. Agreement To Terms

These Terms of Service govern access to and use of Covlio websites, software, automations, AI workflows, dashboards, messaging systems, desktop applications, web applications, implementation services, support, and related services.

By accessing or using Covlio, creating an account, signing an order form, downloading the software, or using any Covlio-provided workflow, you agree to these Terms. If you are using Covlio on behalf of a business, you represent that you have authority to bind that business.

2. Services

Covlio provides lead management, AI communication, missed call text back, lead qualification, appointment scheduling, review requests, follow-up, customer reactivation, reporting, and related automation services for service businesses.

Covlio may provide configuration, setup, onboarding, workflow design, messaging templates, AI agent settings, integrations, and support as part of the services.

3. Accounts And Access

You are responsible for all activity under your account and for ensuring that all users comply with these Terms.

You must protect login credentials, connected accounts, phone numbers, calendar access, messaging channels, CRM access, API keys, and related systems.

You may not share access with unauthorized parties, resell access, or allow competitors, agencies, consultants, software vendors, or third parties to inspect, copy, rebuild, export, or replicate Covlio workflows without written permission.

4. Covlio Ownership And Intellectual Property

Covlio and its licensors own all right, title, and interest in the Covlio platform, software, website, desktop application, web application, automations, AI agents, prompts, workflows, templates, scripts, dashboards, designs, documentation, processes, configuration logic, implementation methods, and proprietary business systems.

Except for the limited right to use the services during an active subscription or agreement, no rights are transferred to you.

You may not copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, extract, clone, mirror, sell, sublicense, lease, distribute, publish, or create derivative works from Covlio or any Covlio automation, workflow, prompt, template, AI agent, system design, or implementation process.

5. Automation And Workflow Restrictions

Covlio automations, workflow logic, AI prompts, agent instructions, messaging sequences, pipeline structures, routing logic, dashboards, templates, implementation methods, and connected-system configurations are proprietary Covlio materials.

You may not steal, copy, replicate, export, screenshot for replication, record for replication, transfer, rebuild, reverse engineer, reproduce, or use Covlio automations or workflow logic in any other account, CRM, agency account, white-label account, GoHighLevel account, competing platform, or third-party system.

You may not move, migrate, duplicate, transfer, or recreate Covlio automations into another white-label, another GoHighLevel sub-account, another SaaS platform, another agency account, another business account, or any system not expressly authorized by Covlio in writing.

You may not permit employees, contractors, consultants, agencies, developers, competitors, or vendors to access Covlio for the purpose of learning, copying, cloning, rebuilding, or competing with Covlio.

Any unauthorized replication, transfer, reuse, publication, or derivative use of Covlio automations or workflow logic is a material breach of these Terms and may result in suspension, termination, legal action, injunctive relief, and damages.

6. Customer Data

You retain ownership of lawful business data, customer data, lead data, and content that you submit to Covlio, subject to the rights you grant Covlio to provide and support the services.

You grant Covlio the right to process, host, transmit, display, analyze, and use customer data as needed to provide services, operate automations, deliver messages, troubleshoot, improve performance, secure the platform, and comply with law.

You are responsible for the accuracy, legality, permissions, consent, and notices required for the data you submit or connect to Covlio.

7. Confidentiality

Non-public Covlio information, including automation logic, prompts, templates, workflows, pricing, strategy, technical information, product plans, implementation methods, and system configurations, is confidential.

You may not disclose Covlio confidential information to any third party without written permission. You must use reasonable care to protect Covlio confidential information and may use it only to receive the services.

8. Acceptable Use

You may not use Covlio for unlawful, deceptive, abusive, harassing, infringing, fraudulent, spam, or unauthorized messaging activity.

You may not interfere with platform security, bypass access controls, overload systems, probe vulnerabilities, scrape data, use automated extraction tools, or attempt unauthorized access.

You may not use Covlio to violate telemarketing, SMS, email, privacy, advertising, consumer protection, platform, or industry rules. You are responsible for your messages, campaigns, contact lists, consent, opt-outs, and compliance obligations.

9. Third-Party Platforms And Integrations

Covlio may connect with third-party platforms, including CRMs, calendars, messaging providers, review platforms, payment processors, form tools, social platforms, GoHighLevel-related systems, and other services.

Third-party platforms are governed by their own terms and policies. Covlio is not responsible for third-party outages, changes, limitations, pricing, enforcement actions, or data handling outside Covlio's control.

Access to Covlio through or alongside a third-party platform does not give you ownership of Covlio automations, implementation logic, templates, prompts, or workflows.

10. Fees, Billing, And Cancellation

Fees, payment terms, subscription terms, setup fees, renewal terms, cancellation terms, and refund rules are governed by the applicable order form, checkout page, invoice, or written agreement.

Unless otherwise stated in writing, fees are non-refundable once services, setup, onboarding, software access, or automation configuration work has begun.

Covlio may suspend or terminate access for failed payments, chargebacks, abuse, security concerns, or breach of these Terms.

11. Service Changes And Availability

Covlio may modify, improve, suspend, or discontinue parts of the services from time to time.

We work to provide reliable services, but we do not guarantee uninterrupted, error-free, or delay-free operation. Automations may depend on third-party services, connected accounts, internet access, customer data quality, and user configuration.

12. Disclaimers

Covlio is provided on an as-is and as-available basis to the fullest extent permitted by law.

Covlio does not guarantee a specific number of leads, bookings, reviews, sales, revenue, or business outcomes. Results depend on many factors outside Covlio's control, including offer quality, pricing, market, speed to service, team execution, and lead quality.

13. Limitation Of Liability

To the fullest extent permitted by law, Covlio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or substitute services.

To the fullest extent permitted by law, Covlio's total liability for any claim will not exceed the amount paid by you to Covlio for the services giving rise to the claim during the three months before the event giving rise to liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless Covlio from claims, damages, losses, liabilities, costs, and expenses arising from your data, your business, your campaigns, your messages, your connected accounts, your violation of law, your breach of these Terms, or your misuse of Covlio.

This includes claims related to unauthorized messaging, consent, opt-outs, privacy, advertising, intellectual property, customer disputes, and unauthorized copying or transfer of Covlio automations.

15. Termination

Covlio may suspend or terminate access immediately if you breach these Terms, fail to pay, create security risk, misuse data, misuse messaging channels, or attempt to copy, transfer, rebuild, or replicate Covlio automations or proprietary systems.

Upon termination, your right to use Covlio ends. Sections relating to ownership, automation restrictions, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, and dispute provisions survive termination.

16. Changes To Terms

Covlio may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of Covlio after changes become effective means you accept the updated Terms.
